1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of MindBridge Hub, operated by SC Smart Continuous Development SRL, a company registered in Romania.

By creating an account, accessing, or using the MindBridge Hub platform, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

If you are using MindBridge Hub on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In that case, "you" refers to both you individually and the organisation you represent.

2. Description of Service

MindBridge Hub is a business-to-business (B2B) software-as-a-service (SaaS) platform that provides project management, AI-powered document processing, artifact generation, backlog management, and team collaboration tools.

The service is delivered via a web application accessible at mindbridge-hub.com.

Features and functionality may change as we continue to develop and improve the platform. We will provide reasonable notice of material changes to paid features.

3. Account Registration & Security

• You must provide accurate, current, and complete information during the registration process.
• You are responsible for maintaining the confidentiality and security of your account credentials, including your password.
• You must notify us immediately at support@mindbridge-hub.com if you become aware of any unauthorised access to your account.
• One person may not create or maintain multiple free accounts.
• During beta or early-access periods, we may restrict access via domain or email whitelisting at our discretion.

4. Subscription Plans & Billing

MindBridge Hub offers Free, Starter, and Professional subscription tiers.

• Paid plans are billed per user, per month, with monthly or annual billing cycles available.
• Annual subscriptions are billed upfront for 12 months at a discounted rate.
• All prices are denominated in USD.
• Payment is processed securely by Stripe. We do not store your payment card details on our servers.
• Seat additions during a billing cycle are prorated immediately. Seat reductions take effect at the start of the next billing cycle.
• You can upgrade, downgrade, or cancel your subscription at any time through the billing settings or the Stripe Customer Portal.

5. Free Tier

The Free tier is provided at no cost with limited functionality. Current Free tier limits include:

• 1 user
• 1 client
• 2 projects
• 5 document uploads
• 30 AI messages per month
• No artifact generation
• No DOCX export
• Truncated insight previews

We reserve the right to modify Free tier limits at any time, with 30 days' notice to affected users.

6. Cancellation & Refunds

• You may cancel your subscription at any time.
• After cancellation, you retain access to paid features until the end of your current billing period.
• Upon expiration of your billing period, your account will revert to Free tier limits.
• All data is retained for 90 days after cancellation. After 180 days from the date of cancellation, data is permanently deleted.
• We do not provide prorated refunds for partial billing periods on monthly plans.

Annual plans: Refund requests made within the first 14 days of an annual subscription will be considered on a case-by-case basis. To request a refund, contact us at support@mindbridge-hub.com.

If you downgrade to a plan with lower limits, you are responsible for bringing your usage into compliance (for example, by archiving excess clients or projects). We will not automatically delete your data when you downgrade.

7. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload malicious files, malware, viruses, or any content that could harm the platform, its infrastructure, or other users.
• Attempt to gain unauthorised access to other users' data, other tenants' resources, or any part of the platform's infrastructure.
• Use automated scripts, bots, scrapers, or similar tools to interact with the platform without our prior written permission.
• Resell, sublicense, redistribute, or provide third-party access to the platform.
• Use the platform to process data that you do not have the legal right to process.
• Circumvent or attempt to circumvent usage limits, rate limiting, plan restrictions, or any other technical controls.

Violation of these rules may result in immediate suspension or termination of your account.

8. Intellectual Property

Your Content

You retain full ownership of all content you upload to or create within MindBridge Hub, including documents, backlog items, artifacts, project data, and any other materials. AI-generated artifacts are derived from your content and belong to you.

You grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the service — for example, to perform AI extraction, store your files, and display your data within the application. This licence terminates when you delete your content or close your account.

Our Platform

We retain all ownership rights in the MindBridge Hub platform, including its source code, design, user interface, branding, and documentation. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

9. AI-Generated Content

MindBridge Hub uses artificial intelligence (Google Gemini) to process documents, extract insights, and generate artifacts. You should be aware of the following:

• AI-generated content is provided as a productivity aid and should be reviewed by a qualified person before use in any professional, client-facing, or decision-making context.
• We do not guarantee the accuracy, completeness, correctness, or suitability of any AI-generated content.
• You are solely responsible for reviewing and validating all AI-generated outputs before relying on them or sharing them with others.
• We shall not be held liable for any decisions made or actions taken based on AI-generated content.

10. Data Processing & Privacy

Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms.

By using MindBridge Hub, you acknowledge and agree that uploaded documents are processed by third-party AI services, specifically the Google Gemini API, in accordance with the data processing practices described in our Privacy Policy.

For users in the European Union, our data processing practices comply with the requirements of the General Data Protection Regulation (GDPR).

11. Service Availability & Modifications

• We strive for high availability but do not guarantee that the service will be uninterrupted, error-free, or available at all times.
• We may perform scheduled or emergency maintenance that temporarily affects availability. Where possible, we will provide reasonable advance notice of planned maintenance.
• We reserve the right to modify, update, or discontinue features of the platform with reasonable notice.
• Material changes to paid features will be communicated to affected users at least 30 days in advance.

12. Limitation of Liability

The platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, SC Smart Continuous Development SRL shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, revenue, profits, or business opportunities
• Inaccuracies, errors, or omissions in AI-generated content
• Service interruptions, downtime, or data loss caused by factors beyond our reasonable control

Our total aggregate liability to you for any and all claims arising from or relating to these Terms or your use of the platform shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be lawfully excluded or limited.

13. Indemnification

You agree to indemnify, defend, and hold harmless SC Smart Continuous Development SRL, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the platform, your content, or your violation of these Terms.

14. Governing Law & Disputes

• These Terms are governed by and construed in accordance with the laws of Romania.
• Any disputes arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
• If negotiation fails to resolve the dispute within 30 days, either party may submit the dispute to the competent courts of Cluj-Napoca, Romania.

For EU consumers: nothing in these Terms affects your statutory consumer protection rights under the laws of your country of residence.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions of these Terms shall continue in full force and effect.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements.

• Material changes will be communicated to registered users by email at least 30 days before taking effect.
• Continued use of the platform after the effective date of updated Terms constitutes your acceptance of those changes.
• If you disagree with the updated Terms, you may cancel your subscription before the effective date. Your cancellation will be processed in accordance with Section 6 above.
